NGS Lab Terms and Conditions

 

NGS Lab, Inc. - Terms and Conditions

Effective Date: January 1, 2026

By submitting samples to NGS Lab, Inc. ("NGS Lab"), you ("Customer") agree to the following terms and conditions:

1. Sample Submission and Quality

1.1 Sample Requirements

Customer agrees to submit samples that meet the minimum quality and quantity requirements specified in NGS Lab's submission guidelines. NGS Lab reserves the right to reject samples that do not meet these specifications.

1.2 Sample Quality Control

Customer is responsible for performing appropriate quality control on samples prior to submission, including concentration measurements and purity assessments as outlined in our submission guidelines.

1.3 Sample Storage

Samples will be stored for 3 months after receipt unless otherwise arranged. Completed NGS libraries will be stored for 3 months. Project primers will be stored for 6 months after project completion.

2. Sequencing and Data Delivery

2.1 Read Depth and Coverage Targets

Samples that achieve at least 80% of the requested read depth or coverage will be considered complete, and data will be released. If a sample falls below 80% of the target, NGS Lab will automatically reload the sample at no additional cost.

If Customer requires 100% of the requested reads or coverage as a minimum threshold, Customer must specify this requirement during project setup. Meeting a 100% minimum threshold may incur additional fees to account for higher loading concentrations and may increase turnaround time.

2.2 Data Variability

For orders with multiple samples, samples are multiplexed in equimolar ratios for sequencing. Due to variations in sample quality and stochastic factors, individual samples may produce different amounts of data. The data target should be interpreted as an average per-sample target, where some samples may end up higher and others lower than the specified target.

2.3 Data Format and Delivery

Sequencing data will be delivered in FASTQ format via either Illumina BaseSpace Sequencing Hub or AWS S3, as selected by Customer during project setup.

2.4 Data Retention

FASTQ data files will be retained for 90 days from the date of data delivery unless extended storage is purchased. After 90 days, data may be permanently deleted, and NGS Lab is not responsible for data loss after this retention period.

3. Library Preparation

3.1 Library Prep Success

NGS Lab will make reasonable efforts to successfully prepare sequencing libraries from Customer samples. However, library preparation success depends heavily on the quality of input material provided by Customer.

3.2 Library Prep Failures

If library preparation fails due to poor quality or inadequate quantity of the sample provided by Customer, Customer remains responsible for payment of the library preparation fees. NGS Lab will contact Customer to discuss the failure and potential options, which may include:

  • Re-attempting library prep with an alternative protocol (additional fees may apply)
  • Submission of fresh input material

3.3 NGS Lab Error

If library preparation fails due to an error by NGS Lab (not related to sample quality), NGS Lab will re-attempt library preparation at no additional cost or provide a credit for the failed service.

4. Sequencing Run Configuration

4.1 Standard Run Formats

NGS Lab routinely loads PE 150 and PE 300 sequencing runs each week. Samples are typically multiplexed with other customer samples to optimize sequencing efficiency.

4.2 Custom Configurations

Custom flow cells, read formats, or dedicated runs are available by custom quote and must be arranged during project setup. Custom configurations may increase turnaround time and incur additional costs.

4.3 Index Compatibility

For fully prepared libraries submitted by Customer, if sample indices overlap with other samples in NGS Lab's sequencing queue, NGS Lab may delay loading the sample to avoid index conflicts. Orders are processed on a first-come, first-served basis.

5. Pricing and Payment

5.1 Payment Terms

Payment is due upon completion of services unless other arrangements have been made in writing. NGS Lab may withhold data delivery until payment is received in full.

5.2 Failed Sample Charges

Customer is responsible for payment of library preparation fees for samples that fail due to poor sample quality, as specified in Section 3.2.

5.3 Pricing Changes

NGS Lab reserves the right to update pricing. Pricing in effect at the time of order placement will apply to that order.

6. Turnaround Time

Turnaround times are estimates and may vary depending on sample volume, run scheduling, and technical factors. NGS Lab will make reasonable efforts to meet estimated turnaround times but does not guarantee specific delivery dates unless explicitly agreed upon in writing.

7. Limitation of Liability

7.1 Service Limitations

NGS Lab's liability is limited to the fees paid for the specific services rendered. NGS Lab is not liable for indirect, incidental, consequential, or special damages arising from the use of our services.

7.2 Sample Loss or Damage

While NGS Lab takes reasonable precautions to handle samples carefully, NGS Lab is not responsible for loss or damage to samples due to shipping, handling, or storage beyond our control.

7.3 Data Analysis

NGS Lab provides sequencing services but does not guarantee the biological interpretation or downstream analysis of data. Customer is responsible for ensuring that sequencing data meets their research or clinical needs.

8. Confidentiality

NGS Lab will treat all Customer samples and data as confidential and will not disclose information to third parties except as required by law or with Customer's written consent.

9. Intellectual Property

Customer retains all rights to their samples and data. NGS Lab does not claim any ownership or intellectual property rights over Customer's biological materials or sequencing results.

10. Cancellation and Refunds

10.1 Cancellation Policy

Orders may be canceled prior to the start of library preparation. Once library preparation or sequencing has begun, no refunds will be issued, though Customer may still receive any data generated.

10.2 Partial Refunds

If NGS Lab is unable to complete services due to circumstances within our control, a prorated refund or credit will be provided.

11. Shipping and Sample Receipt

11.1 Shipping Requirements

Customer is responsible for properly packaging and shipping samples according to NGS Lab's guidelines. Samples must arrive in acceptable condition. NGS Lab is not responsible for samples damaged during shipping.

11.2 Receipt Confirmation

NGS Lab will confirm receipt of samples and notify Customer of any issues within a reasonable timeframe.

12. Modifications to Terms

NGS Lab reserves the right to modify these Terms and Conditions at any time. Changes will be posted on our website and will apply to orders placed after the effective date of the changes.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
